Contracts

Negotiating contracts well pays off

Very few companies pay due attention to contracts. The client's purchasing departments deliberately do not allow much time for the submission of tenders. It is expected that any deviations from the standard contracts supplied in the tender will be communicated to the client within the tender deadline and that concrete proposals regarding deviations will be made. The time for reviewing the standard contracts quickly becomes short. Often the contracts are very extensive, the bidder does not have an internal legal service and the sales organisation is pushing for the conclusion.

This is where it is important to seek legal advice immediately. Do not be afraid to have the deadline for reviewing the contract extended, regardless of the bid deadline. Court practice shows that the content of poorly or unilaterally drafted contracts often ends up in court or arbitration. This is the case when divergences in interpretation and application have led to a massive imbalance. This costs the parties more on balance than if they had sought legal support in the contract negotiations from the outset and spent more time on it.

Many years of experience in contract negotiation

Contracts that are professionally tailored to the respective parties and negotiated in a balanced manner are well-structured, logically structured, can be applied by laypersons and prevent disputes. The will of the parties is clear on both sides.

Good contracts are persistently negotiated and then put in the drawer and rarely used. It is therefore worthwhile to draft contracts professionally right at the beginning of the emerging contract negotiations. We support you in this with many years of experience, both in-house and externally, with the negotiation of the following contracts:

  • Service contracts / order
  • SaaS contracts
  • ICT contracts
  • Data processing contracts
  • General terms and conditions
  • Hardware supply contracts
  • Consultancy contracts
  • Agency contracts
  • Share purchase agreements and shareholders' agreements
  • Commodity purchase contracts (long term & spot)
  • Infrastructure contracts
  • Licence contracts
  • Transport contracts
  • Business rent contracts
  • Franchise contracts
  • Leasing contracts
  • Employment contracts
